Terms of Service

1. Acceptance of Terms
1.1 By accessing, purchasing, or using the digital products and services (the "Services") provided by Hong Kong Yichen Trading Co., Ltd. (the "Company"), you (the "User") acknowledge that you have read, understood, and agreed to be bound by these Terms of Service, our Shipping Policy, and all applicable laws and regulations of Hong Kong Special Administrative Region ("Hong Kong SAR").
1.2 If you are under 18 years of age (or the age of legal majority in your jurisdiction), you must obtain consent from your parent or legal guardian before using the Services, and such consent shall be deemed as acceptance of these Terms on your behalf.
1.3 The Company reserves the right to modify these Terms at any time. Material changes will be notified via email or posted on the official website. Your continued use of the Services after modifications constitutes acceptance of the revised Terms.
2. Description of Services
2.1 The Company provides digital virtual products, including but not limited to yoga course materials, digital guides, and online resources (the "Products"). All Products are delivered electronically via download links sent to the User’s provided email address, as detailed in the Shipping Policy.
2.2 The Company warrants that all Products comply with Hong Kong’s intellectual property laws and regulations, and that the Company holds valid rights to distribute the Products .
2.3 The Company reserves the right to update, modify, or discontinue any Product or Service at any time without prior notice, provided that such changes do not affect already purchased Products.
3. User Obligations
3.1 Users shall provide accurate, complete, and up-to-date information (including valid email addresses) when purchasing Products. The Company shall not be liable for any service failures caused by incorrect or outdated information.
3.2 Users agree to use the Products solely for personal, non-commercial purposes. Unauthorized sharing, reproduction, distribution, resale, or modification of the Products (including download links) is strictly prohibited.
3.3 Users shall comply with all applicable laws and regulations when using the Services, including but not limited to Hong Kong’s copyright laws, data protection laws, and any local laws in the User’s jurisdiction.
3.4 Users shall not use the Services for any illegal or unauthorized purpose, or engage in any conduct that may damage the Company’s reputation or interfere with the Services.
4. Intellectual Property Rights
4.1 All intellectual property rights in the Products (including but not limited to copyrights, trademarks, patents, and trade secrets) are owned by the Company or its licensors. These Terms do not transfer any intellectual property rights to the User, except for a non-exclusive, non-transferable license to use the Products for personal purposes.
4.2 Any unauthorized use of the Company’s intellectual property may result in legal action, including claims for damages under Hong Kong’s Copyright Ordinance (Cap. 528) and Trademarks Ordinance (Cap. 559).
5. Data Protection and Privacy
5.1 The Company collects and processes User data in compliance with Hong Kong’s Personal Data (Privacy) Ordinance (Cap. 486) ("PDPO") and the Guangdong-Hong Kong-Macao Greater Bay Area Cross-Border Personal Information Flow Standard Contract Measures .
5.2 The Company shall only use User data (including email addresses) to provide the Services, process orders, and send necessary notifications. User data will not be shared with third parties without prior consent, except as required by law.
5.3 For cross-border data transfers (e.g., to the Greater Bay Area mainland cities), the Company shall comply with the PDPO and relevant cross-border data flow regulations, including completing necessary filings with the Digital Policy Office of Hong Kong SAR .
5.4 Users have the right to access, correct, or request deletion of their personal data in accordance with the PDPO. Such requests may be submitted via the customer support email.
6. Electronic Transactions
6.1 All electronic transactions between the Company and the User are governed by Hong Kong’s Electronic Transactions Ordinance (Cap. 553) ("ETO") . Electronic records and electronic signatures (as defined in the ETO) shall have the same legal status as paper-based records and handwritten signatures.
6.2 The User’s payment confirmation and email communication with the Company shall constitute valid evidence of the transaction, in accordance with the ETO .
7. Disclaimers and Limitation of Liability
7.1 The Company provides the Services on an "as-is" and "as-available" basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2 The Company shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the Services, including but not limited to loss of profits, data loss, or damage to reputation.
7.3 The Company’s total liability for any claim arising from these Terms or the Services shall not exceed the total amount paid by the User for the relevant Product.
7.4 Nothing in these Terms shall limit the Company’s liability for fraud, willful misconduct, gross negligence, or liability that cannot be excluded under Hong Kong law.
8. Termination
8.1 The Company may terminate these Terms and suspend the User’s access to the Services at any time if the User breaches any provision of these Terms or applicable law.
8.2 Upon termination, the User’s license to use the Products shall immediately cease, and the User shall delete all copies of the Products in their possession.
8.3 Sections 4 (Intellectual Property Rights), 5 (Data Protection and Privacy), 7 (Disclaimers and Limitation of Liability), 9 (Governing Law), and 10 (Dispute Resolution) shall survive termination.
9. Governing Law and Jurisdiction
9.1 These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR.
9.2 Any dispute, controversy, or claim arising out of or in connection with these Terms or the Services shall first be resolved through amicable negotiation between the parties.
9.3 If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Hong Kong SAR.
10. General Provisions
10.1 These Terms constitute the entire agreement between the Company and the User regarding the Services, superseding any prior agreements or understandings.
10.2 If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
10.3 The Company’s failure to enforce any provision of these Terms shall not constitute a waiver of such provision.
